MaterMaterial Transfer Agreement (MTA)
Triangle Hemp, LLC (“TH LLC”)
This agreement is made between TH LLC and the purchaser (“RECIPIENT”). By placing an order, RECIPIENT acknowledges and agrees to the following terms regarding the transfer of plant materials (“MATERIAL”).
1. Legal Compliance
MATERIAL consists of hemp seeds legally defined under federal law as containing less than 0.3 percent delta-9 THC by dry weight. RECIPIENT affirms that they are legally eligible under their local and state laws to acquire and possess such MATERIAL. Any cultivation information provided by TH LLC is intended only for adults in regions where cultivation is lawful.
2. Permitted Use Under Federal Law
RECIPIENT acknowledges that the transfer and receipt of MATERIAL is permitted under the 2018 Farm Bill and agrees to handle the MATERIAL in accordance with applicable laws and regulations.
3. Assumption of Risk and Liability
RECIPIENT assumes all liability for any outcomes arising from the use, storage, germination, growth, or disposal of MATERIAL. TH LLC shall not be liable to RECIPIENT or any third party for any claim, loss, damage, or demand related to RECIPIENT’s use or handling of MATERIAL. RECIPIENT agrees to indemnify and hold harmless TH LLC from any claims, attorney fees, or costs arising out of RECIPIENT’s use or misuse of MATERIAL.
4. No Warranty or Representation
Descriptions, illustrations, and information provided by TH LLC regarding genetics, performance, growth characteristics, or outcomes are general in nature and do not constitute a warranty. MATERIAL may perform differently based on environmental, genetic, or management conditions. TH LLC provides no warranty, express or implied, regarding the appearance, vigor, cannabinoid expression, or performance of any plants grown from MATERIAL.
5. Plant Health Disclaimer
While TH LLC believes the MATERIAL to be free of latent defects, plant diseases may be transmitted through various natural or human means. No warranty is made that MATERIAL is free from disease, pests, or defects.
Certification by RECIPIENT
By placing an order, RECIPIENT certifies that they have read, understand, and agree to abide by this Agreement.
